Dispute Resolution

Our Dispute Resolution Practice Group represents clients in litigation before the Courts of Malta, the European Court of Justice, the European Court of Human Rights, administrative tribunals and in domestic and international arbitrations.

We advise on a broad range of civil and commercial disputes including cross-border litigation, enforcement action, sequestration of assets, debt recovery proceedings, jurisdictional issues and class actions across different industries including consumer, financial services, environmental, gaming, international trade, maritime, personal accident, infrastructure projects, insurance claims, real estate and construction, taxation, telecommunications, transport and trusts.

Our Dispute Resolution Practice Group frequently works closely with our Commercial Practice Group in proceedings concerning privatization and public procurement awards as well as in resolving disputes arising under government concession contracts.

Our Dispute Resolution Practice Group has represented clients in an action challenging a European Regulation before the European Court of Justice and represents clients in constitutional and human rights actions before the European Court of Human Rights.

Prof. Ian Refalo has extensive experience in government related work and frequently advises government and public bodies on administrative and constitutional law issues.

Commercial

The Commercial Practice Group advises on matters across the commercial law spectrum including competition, joint ventures, international commercial agreements, franchising, agency and distribution.

We also advise on infrastructure projects and public procurement and have experience of both Government-side and bidder-side privatisation work including vendor and purchaser due diligence. We advise on projects and concession contracts in various sectors including energy and represent various trade organisations and bodies including the tuna fish farming industry.

While traditionally acting for ship owners in contentious matters, our Commercial Practice Group increasingly advises on non-contentious maritime work principally the registration of ships and yachts under the Maltese flag on behalf of domestic and international owners. The Commercial Practice Group is also well placed to advise on aircraft registration. Working closely with our Corporate & Finance Practice Group, the Commercial Practice Group also advises on asset finance and security.

We advise on a broad range of matters in relation to real estate and construction. Working together with the Firm's other practice groups the Commercial Practice Group advises developers, contractors, private clients as well as lenders on real estate acquisition and finance, construction contracts, title and construction disputes and planning issues.

The Commercial Practice Group also advises on trademark and patent registration and licensing issues and together with the Dispute Resolution Practice Group on claims regarding intellectual property infringements.

Corporate & Finance

Our Corporate & Finance Practice Group advises clients on all aspects of company law in relation to both private and public companies. We advise on mergers and acquisitions, capital market transactions, equity and debt offerings, tender offers and corporate governance. Working closely with our Dispute Resolution Practice Group we also assist clients in contentious matters including insolvency petitions and actions for wrongful and fraudulent trading.

We advise domestic and international financial institutions on regulatory and compliance work. We also advise financial intermediaries, prime-brokers, fund managers and investment funds on set-up, licensing, re-domiciliation and compliance and on the promotion of UCITS and non-UCITS funds, securities offerings and other investment products.

We act for life and general insurance principals, insurance brokers and managers and advise on various aspects of insurance law including regulatory, compliance and contractual issues. Our Dispute Resolution Practice Group also has significant experience in insurance litigation.

We also act on behalf of both lenders and borrowers on a variety of finance and security transactions including syndicated and multi-creditor facilities, senior and mezzanine funding, leveraged buy-outs, project and asset finance, including real estate finance.

We advise on trusts in the context of commercial and financial transactions and also in relation to private client work including trust settlements, estate and inheritance planning. Our Dispute Resolution Practice Group also represents clients in trust and fiduciary litigation.
